VOTING RIGHTS AND CAPITAL

In conformity with Disclosure and Transparency Rule 5.6.1R, Vodafone Group Plc ("Vodafone") hereby notifies the market of the following:

Vodafone's issued share capital consists of 53,819,876,179 ordinary shares of U.S.$0.11 ³/₇ each with voting rights, of which 4,646,075,349 ordinary shares are held in Treasury.

Therefore, thetotal number of voting rights in Vodafone is 49,173,800,830.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Vodafone under the FSA's Disclosure and Transparency Rules.
