Under the terms of the Long Term Incentive Plan ('the Plan') of Whitbread PLC
('the company'), conditional awards at nil cost were made on 8 June 2000 to
executive directors of the company in respect of the 3 year performance period
ending 28th February 2003 ('the 2000 - 2003 Performance Period'). The range of
ordinary shares which each executive director could potentially receive in
respect of this Performance Period is as follows:-

The number of shares, if any, the executive directors will actually receive at

return ('TSR') relative to other companies within a comparator group over this
