WHITBREAD SCRIP DIVIDEND SCHEME

In relation to the dividend for the year ended 4 March 2010, the price of a new ordinary share under the scrip dividend alternative has been set at 14.27 pence.  This is the average of the Company's middle market closing price for the five consecutive dealing days commencing on the ex‑dividend date of 12 May 2010.

Shareholders wishing to elect to participate in the scrip dividend scheme may do so either by completing a mandate form which can be requested by telephoning 0844 855 2327 and returning it to the Company's Registrar, Capita Registrars at New Issues Department, The Registry, 34 Beckenham Road, Beckenham, Kent BR3 4TU or electronically through the shareholder portal at www.whitbread-shares.com.  Shareholders who hold their shares in CREST and wish to elect to participate must do so by means of CREST procedures.  All elections to participate in the scrip dividend scheme (whether by completing the mandate form or electronically) must be received by the Registrar by no later than 5.00 pm on 11 June 2010.
