WHITBREAD SCRIP DIVIDEND SCHEME

In relation to the interim dividend for the half-year ended 27 August 2009, the price of a new ordinary share under the scrip dividend alternative has been set at 1286.20 pence. This is the average of the Company's middle market closing price for the five consecutive dealing days commencing on the ex-dividend date of 21 October 2009.

Shareholders wishing to elect to participate in the scrip dividend scheme may do so either by completing a mandate form which can be requested by telephoning 0844 855 2327 and returning it to the Company's Registrar, Capita Registrars at New Issues Department, The Registry, 34 Beckenham Road, Beckenham, Kent BR3 4TU or electronically through the shareholder portal at www.whitbread-shares.com. Shareholders who hold their shares in CREST and wish to elect to participate must do so by means of CREST procedures. All elections to participate in the scrip dividend scheme (whether by completing the mandate form or electronically) must be received by the Registrar by no later than 5.00 pm on 3 December 2009. Shareholders are advised to submit mandate forms as early as possible in light of the current postal strikes.
