Mustang Engineering Acquires Ellipsys, Inc.

Mustang Engineering, L.P., ('Mustang') a subsidiary of John Wood Group PLC
('Wood Group'), has acquired Ellipsys, Inc. ('Ellipsys'), a Houston-based
systems integrator and provider of advanced application software and
implementation services to the process and manufacturing industries. Ellipsys
had revenues of $2.5 million for the year ended December 31, 2003, and net asset
value at completion was $350,000.
