Woolwich Shareholder Meeting

Woolwich PLC 3 October 2000 Woolwich plc confirms that as at the latest practicable time prior to the Court Meeting and Extraordinary General Meeting held today, 3 October 2000, at the Wembley Conference and Exhibition Centre to vote on the offer by Barclays PLC for Woolwich (to be effected by scheme of arrangement), the votes cast by proxy and announced at the meetings were as follows: Court Meeting: Out of a total of 701,082,505 votes cast by proxy, prior to the meeting, 683,100,151 votes, representing 97.4% in value and a majority in number of the total votes cast, were cast in favour of the scheme of arrangement. EGM: First Resolution: Out of a total of 611,892,134 votes cast by proxy, prior to the meeting, 597,850,387 votes, representing 97.7% of the total votes cast, were cast in favour of the first resolution (to approve the scheme of arrangement and related matters). Second Resolution: Out of a total of 611,892,134 votes cast by proxy, prior to the meeting, 599,210,150 votes,representing 97.9% of the total votes cast, were cast in favour of the second resolution (to approve the acquisition of Sedgwick Independent Financial Consultants Limited). These figures only incorporate the results of the proxy vote prior to the meeting, and do not represent the final results of the shareholder vote. Votes cast at the meetings were by poll and final voting figures will be announced tomorrow, 4 October 2000.
