Board Changes

                                WORTHINGTON GROUP PLC

The Worthington Board announce the following changes which take effect from 31
January 2004.

Mr J C Dwek, CBE has been appointed Group Chief Executive in addition to his
existing position as Chairman.

In line with the Group's current business, the Board will now consist of Mr Joe
Dwek, CBE as Chairman and Chief Executive, Mr Tim Roberts FCA as Finance
Director, Mr John Smith the Managing Director of Worthington Manufacturing
Limited in Macclesfield and Mr Roger Green FCA as the Independent Non-executive
Director

Mr Jack Grant, a former Chairman, will continue to act as consultant to the main
Board.

The Group wishes to thank for their services Mr John Taylor who is retiring and
Non-executive Directors Prof. Peter Foster and Mr Sidney Friedland who are
retiring to pursue personal interests.
