Claim against third parties

The directors are pleased to announce that resolution has been reached in the
company's claim against third parties in respect of the restatement of the
audited accounts for the year ended 31 March 1998.

As a result the claim by Penmarric Plc, disclosed as a contingent liability in
the financial statements to 31 March 2002, will be settled in full.

The amount of the settlement in relation to the Penmarric Plc claim against
Worthington is being considered by the committee of independent directors and a
further announcement will be made in due course.
