Worthington Group plc announces the resignation, on 18 August 2005, of Roger
Michael Green as non Executive Director following the Annual General Meeting.

The Board would like to record their grateful thanks to Roger for all the hard
work and valuable input given by him over the years that he has served as Senior
Non-Executive Director.

At the Annual General Meeting of Worthington Group plc held yesterday all
resolutions were duly passed by shareholders.
