Issue of £400,000,000 2 per cent Convertible Bond due 2007
In accordance with core dealing rule 2.13, Merrill Lynch International notifies
you that it is the stabilising manager and may conduct stabilising activities in
relation to WPP Group plc ordinary 10p shares, ISIN: GB0009740423 ("the Shares")
pursuant to the issue of £400,000,000 2 per cent convertible bonds due 2007
("the Bonds"). We confirm the following:
1. The securities to be stabilised are WPP Group plc ordinary 10p shares ISIN:
GB0009740423;
2. The stabilising manager Merrill Lynch International (contact John Millar -
Telephone: 020 7995 3700);
3. Stabilisation period commences at 3p.m. 13 March 2002 and ends 12 April 2002
inclusive (30 days after pricing of the Bond);
4. Stabilisation of the Shares may occur on the London Stock Exchange Limited;
5. The reference price of WPP Group plc ordinary 10p shares is 741.6p in
conjunction with the issue of the £400,000,000 2 per cent WPP Convertible
Bond due 2007.
