RESPONSIBILITY OR CONNECTED PERSONS


The Company received a notification on 22 November 2005 from Barclays Private
Bank & Trust Limited as trustees of the Xaar Plc Employee Benefit Trust
informing it that the trustees purchased on 22 November 2005 249,115 shares at
261p per share.


The Trustees total interest is 1,205,504 shares representing 1.98% of the Com
pany's issued ordinary share capital. The announcement is made due to the
potential interest of the Directors and persons discharging managerial
responsibility.
