Webb Capital Plc

Statement Re Investment in BWA Group PLC

11 March 2011

Webb Capital plc (`the Company' or `Webb Capital')

Statement regarding Investment in BWA Group PLC

                       Requisitioning of General Meeting

On 23 February 2010 Webb Capital plc (`the Company'), the PLUS Markets quoted
financial services group announced that it had written to the Directors of PLUS
quoted BWA Group plc (`BWA') to request that the Directors of BWA convene a
General Meeting at which Resolutions can be proposed to remove Mr Richard
Battersby and Mr James Butterfield as Directors of BWA and to appoint Mr Peter
Webb and Mr Dwight Mighty to serve in their place.

The letter was sent on behalf of Webb Capital, which holds a 9.9 per cent
shareholding in BWA and Mr Peter Webb and family who hold a 14.9 per cent

The Company and Peter Webb are now aware that Mr Battersby has written to a
number of shareholders seeking their pre-emptive irrevocable proxy to vote
against the Resolution.

A circular is due to be despatched from BWA to its shareholders on 15 March
2011 convening a meeting in accordance with the request no later than 12 April
2011 and this circular will contain a letter from Peter Webb setting out in
detail why he believes the proposed changes are necessary.

We believe that Mr Battersby is attempting to pre-empt this circular by his
actions and believe that Shareholders should only commit their vote when they
have the full facts. The Company and Peter Webb ask shareholders not to
pre-empt the process which is underway and to decide only once they have all
the facts.

The Directors accept responsibility for this announcement.
