                     ACQUISITION OF QUEENS MOAT HOUSES PLC

            SCHEME BECOMES EFFECTIVE AND QUEENS MOAT SHARES DELISTED

Recommended cash acquisition of Queens Moat by W2001 Britannia LLC by means of a
scheme of arrangement (the 'Scheme') under section 425 of the Companies Act 1985
(the 'Acquisition')

Queens Moat and Whitehall 2001 are pleased to announce that the Scheme has
become effective following delivery today of the Court order sanctioning the
Scheme to the Registrar of Companies. The QMH Shares have also today been
delisted from the Official List of the UK Listing Authority and removed from
trading on the London Stock Exchange.

Terms used in this announcement shall have the same meanings as set out in the
Scheme document dated 22 September 2004.
