                       Morley Alternative Investment Strategies Fund PCC Limited (the 'Company')


                                         Re: Results of Annual General Meeting







The board of directors of the Company (the 'Board') wishes to advise that the
following Special Resolution was proposed and passed at the Company's Annual
General Meeting held on 27 July 2007.



The Board proposed a Special Resolution to amend Article 15.11 of the Company's
Articles of Association after discussion with the Company's Investment Manager
and legal advisers.



Article 15.11 provided as follows:



'Where any application monies are not an exact multiple of the Subscription
Price per Participating Share of the relevant class, a fraction of a
Participating Share may be issued provided always that the total number of
participating shares of each class in issue at any time shall be a whole number.
  If a fraction of a Participating Share falls to be issued at a time when,
following such issue, there would not be a whole number of Participating Shares
in issue, the fractional share shall, nevertheless, be issued, and the Guernsey
Manager shall subscribe for the residual fraction of the Participating Share.
All or part of the fractions of a Participating Share held by the Guernsey
Manager shall be applied by it to any subsequent allotment of fractions of a
Participating Share of the same class.'



This particular Article reflects a former Guernsey company law requirement which
is no longer in effect.  In order to correctly reflect current practice, it was
proposed that the Article be amended to read as follows:



'Where any application monies are not an exact multiple of the Subscription
Price per Participating Share of the relevant class, a fraction of a
Participating Share may be issued which shall carry the corresponding proportion
of rights, liabilities and other attributes of whole shares of the same class'.



A copy of the amended Articles of Association is available from the office of
the administrator of the Company.
