Bondholder Meeting

The Board of Pearl Group Holdings (No. 1) Limited as issuer of the £500,000,000 6.5864 per cent. Fixed/Floating Rate Perpetual Reset Capital Securities (XS0235245205) (the 'Notes') announces that as previously notified to bondholders on 7 April a meeting of bondholders is being held at 12.15pm today at which the Issuer proposes to discuss with bondholders:

(i)    the deferral of the coupon due on the Notes announced by the Issuer on 25 March 
       2009 (RNS Number: 2866P) and the consequential effects in relation to capital 
       restrictions and the Alternative Coupon Satisfaction Mechanism (as defined in 
       Condition 6 of the terms and conditions of the Notes); and

(ii)    the Issuer's position, and the consequential ranking of the Notes, in the Issuer's Group.
