NOTICE IS HEREBY GIVEN to holders of the Notes that on 1 April 2011:

·          Central Networks East plc changed its name to Western Power Distribution (East Midlands) plc; and

·          Central Networks West plc changed its name to Western Power Distribution (West Midlands) plc.

This change in name has arisen following completion of the acquisition by PPL WEM Holdings plc (formerly known as WPD Investment Holdings Limited) of the entire issued share capital of Central Networks East plc and Central Networks Limited (the sole member of Central Networks West plc) pursuant to a share purchase agreement dated 1 March 2011 between Avon Energy Partners Holdings, East Midlands Electricity Distribution Holdings, E.ON UK plc, E.ON AG, PPL WEM Holdings plc and PPL Corporation.
