Amendment to ISDA documentation to comply with the Risk Mitigation Requirements of EMIR

Terms used and not defined herein shall have the same meanings given thereto in (i) the master definitions and construction agreement dated 4 October 2004 as amended, supplemented and varied from time-to-time and (ii) the issuer master definitions schedule, dated 9 May 2007 signed for the purposes of identification by Allen & Overy LLP and Slaughter and May.

With effect on and from 24 January 2014, the Note Trustee, Security Trustee and Issuer Security Trustee have consented to Aire Valley Mortgages 2007-1 plc (the "Issuer") amending its outstanding ISDA Master Agreement by way of a bilateral amendment agreement entered into with the Issuer's swap counterparty. The amendment is being made in order for the Issuer to comply with the risk mitigation requirements of Regulation (EU) No. 648/2012 of the European Parliament and of the Council of 4 July 2012 on OTC derivatives, central counterparties and trade repositories ("EMIR"), which includes the portfolio reconciliation and dispute resolution obligations (the "Risk Mitigation Requirements"). The bilateral amendment agreement will be signed as soon as possible following 24 January 2014. 

Aire Valley Funding 1 Limited will also enter into a bilateral amendment agreement with Bradford & Bingley plc ("B&B") to amend the ISDA Master Agreement in place between the two parties in order to comply with the Risk Mitigation Requirements of EMIR. The bilateral amendment agreement between Funding 1 and B&B was signed on 24 January 2014.
