BESTFOODS RECEIVES REQUISITE CONSENTS IN SOLICITATION, OFFERS EARLY CONSENT FEE
TO REMAINING HOLDERS WHO TENDER AND CONSENT

Englewood Cliffs, NJ, March 13, 2000 - Bestfoods today announced that it had
received the requisite consents in the tender offer and consent solicitation
relating to the 10.75% Notes due 2005 (the 'Notes') of Arisco Produtos
Alimenticios S.A. ('Arisco'), a wholly owned indirect subsidiary of Bestfoods,
as of March 10, 2000 (the 'Consent Payment Deadline').  The tender offer is
scheduled to expire at 11:59 p.m., New York City time, on March 24, 2000 (the
'Expiration Date'), unless extended.

Bestfoods also announced today that it had amended the terms of the consent
solicitation such that it will pay the early consent fee of $30.00 per $1,000
principal amount of Notes tendered prior to the Expiration Date for the tender
offer and accepted for purchase.  Prior to this amendment the consent fee was
only available to holders who tendered prior to the Consent Payment Deadline. 
The Expiration Date remains unchanged.
