Notification of Transaction of Directors, Persons Discharging Managerial
Responsibility or Connected Persons



This notification relates to a transaction notified in accordance with
Disclosure Rules 3.1.4R(1)(a).



On 19th December 2007, Brewin Dolphin Holdings PLC received notification that:-



1.                  Mr Barry Howard, an Executive Director, has today exercised
options over 30,376 ordinary shares of 1 pence each ('Ordinary Shares') pursuant
to the Company's Senior Employee Matching Share Purchase Scheme grant in
December 2003.



His resultant holding in ordinary shares in the Company is now 155,351 ordinary
shares (of which 91,988 are nil paid), representing approximately 0.0746% of the
total issued share capital of the Company and the total number of shares over
which options are held by him is now 117,642 shares.



2.                  Graeme Summers, a PDMR, has today:-



     i. exercised options over 60,753 ordinary shares of 1 pence each ('Ordinary
        Shares') pursuant to the Company's Senior Employee Matching Share
        Purchase Scheme grant in December 2003.



    ii. disposed of 60,753 ordinary shares of 1 pence each ('Ordinary Shares')
        representing 0.0292% of the Company, at a price of 165 pence per share.



His resultant holding in ordinary shares in the Company is now 231,005 ordinary
shares (of which 77,875 are nil paid), representing approximately 0.111% of the
total issued share capital of the Company and the total number of shares over
which options are held by him is now 98,874 shares.
