                   Offer declared unconditional as to acceptances


PRADA UK announces that its recommended cash offer for Church has been
declared unconditional as to acceptances and will remain open for acceptances
until 27 October 1999 when the Offer will close.

At 3.00 pm on 13 October 1999 PRADA UK owned or had received valid acceptances
in respect of 8,372,539 Church Shares, representing approximately 75.3 per
cent. of the issued share capital of Church.

PRADA UK has received valid acceptances in respect of 6,209,638 Church Shares,
representing approximately 55.8 per cent. of the issued share capital of
Church.  Included in the acceptances of the Offer are acceptances in respect
of 2,388,689 Church Shares which were the subject of irrevocable undertakings
to accept the Offer from certain shareholders of Church.  During the Offer
Period, PRADA UK acquired a further 1,167,901 Church Shares representing
approximately 10.5 per cent. of the issued share capital of Church.  Prior to
the commencement of the Offer Period on 2 September 1999, PRADA UK and
connected parties owned 995,000 Church Shares representing approximately 
8.9 per cent. of the issued share capital of Church.

In addition, during the Offer Period, PRADA UK obtained irrevocable
undertakings which have not yet been accepted in respect of, and agreed to
acquire, a further 808,872 Church Shares, representing approximately 7.3 per
cent. of the issued share capital of Church.  Therefore, in aggregate, PRADA
UK owns, has contracted to acquire or has received acceptances for a total of
9,181,411 Church Shares representing 82.5 per cent. of the issued share
capital of Church.

Other than as disclosed above, neither PRADA UK nor any persons acting, or
deemed to be acting, in concert with them owned or controlled any Church
Shares (or rights over such shares) prior to the commencement of the Offer
Period nor has PRADA UK or any such person acquired or agreed to acquire any
Church Shares (or rights over such shares) since the commencement of the Offer
Period.

Terms defined in the Offer Document dated 22 September 1999 have the same
meaning in this announcement.
