Acquisition of ScanOptic GmbH, a European EDC Specialist

DICOM Group plc ('DICOM Group'), a global leader in the Electronic Document
Capture ('EDC') market, has made an offer to acquire ScanOptic GmbH ('ScanOptic
'), a leading specialist provider of EDC products and services in the German,
Swiss and Benelux market. ScanOptic was founded in 1997 as a subsidiary of EASY
SOFTWARE AG ('Easy'), a Germany based Content Management software company. The
offer will lapse if not accepted by shareholders on or before 15 November 2002.

Under the terms of the offer, DICOM Group will purchase 100 per cent of the
equity of ScanOptic including its majority stakes in ScanOptic's subsidiaries in
Switzerland and the Netherlands, where it holds 55% and 51% respectively.  The
total consideration offered is up to €4m (£2.5m) of which €3m (£1.9m) will be
paid in cash and up to €1m (£0.6m) as deferred consideration depending on the
performance of ScanOptic for the period to 31 December 2002.

ScanOptic will add to DICOM Group's leading market position particularly in the
German EDC market. It will also enhance the penetration of DICOM Group products
in the Easy channel partner market. ScanOptic's customers include BMW,
Daimler-Chrysler, Deutsche Messe Hannover, Jaguar, Stadtwerke Frankfurt,
Vodafone, Zweites Deutsches Fernsehen.

ScanOptic had sales of €11.2m (£7.0m) in the financial year to 31 December 2001
and profit before tax of €562,000 (£350,000)
