Dori Media Group Ltd. (“Dori Media”, “DMG”, the “Company” or the
“Group”), the international media company active in the field of
television, with a focus on production, distribution, broadcasting and
merchandising of Telenovela and Drama, announces that, further to a
letter received on 13 April 2011 from a member of the Company’s
controlling shareholders’ group (“the Shareholder”), the Company
yesterday received confirmation from the Shareholder that it has decided
not to move forward with the contemplated tender offer.
At the Company’s Extraordinary General Meeting held on 12 May 2011,
shareholders of the Company approved the cancellation of the admission
of its Ordinary Shares to trading on AIM (the “Delisting”) which is
scheduled to take place at 7.00 a.m. on Friday, 20 May 2011. Following
Delisting, the Ordinary Shares will not be listed on any publicly quoted
market, although the Ordinary Shares will continue to be registered with
CREST and shareholders will be able to settle off-market transactions
through the CREST system until further advised. However, in order to
provide a measure of liquidity in the Ordinary Shares following the
Cancellation, the Company intends to set up and maintain a matched
bargain settlement facility, although there is no guarantee of the form
that the facility will take, or that the Company will be able to set one
up in the short term. Under this facility (assuming that one is
established), persons wishing to buy or sell Ordinary Shares will be
able to leave an indication with the facility provider that they are
prepared to buy and sell Ordinary Shares at an agreed price. If the
facility provider is able to match that order with an opposite sell or
buy instruction, it will contact both parties and effect the order. The
contact details of the matched bargain settlement facility provider, if
and once arranged, will be made available on the Company’s website.
