The Board of Directors (the 'Directors') of Euro-Partners Arbitrage Fund Limited
(the 'Company') wish to announce that with effect from 7th June 2004, Mr.
Anthony Riker resigned as a Director of the Company for business reasons.

The Directors would also like to announce that with effect from 10th July 2004,
Mr. Klaus Haberich was appointed to the Board of Directors of the Fund.

Born in Berlin, Mr. Haberich has more than 20 years of experience in corporate
finance and alternative investments. Beginning his career with Arthur D. Little
in London, he subsequently taught at the London Business School and INSEAD in
Fontainebleau. He was an adviser to the UK Government, the United Nations and
private companies on foreign direct investment issues and spent one year as a
visiting professor in Japan. From 1979 to 1984 he taught international business
and business policy at the Wharton School of the University of Pennsylvania.
Since then he has held leading positions in corporate finance with Peregrine,
the Hong Kong investment bank, from 1994 to early 1998, with BNP Paribas in
Paris (3/98 - 8/99) and UBS in Frankfurt (12/99 - 3/2002). At Peregrine he
advised European firms on their investments in China and helped to raise capital
for the US$780 Asian Infrastructure Fund as well as for a number of individual
foreign corporate investors in China. He also advised the Wallenberg group on
fundraising for their Asian private equity fund. Mr. Haberich received his B.A.
in Economics ('Licence') from the Universite de Geneve in Switzerland and his
MBA from the University of Rhode Island. He is currently a director of Flying
Spark, a UK software company.

A memorandum detailing the names of all the companies and partnerships of which
Mr. Haberich has been director or partner at any time in the previous five
years, together with an indication of whether or not he is still the director or
partner, is available for inspection at the office of NCB Stockbrokers Limited,
3 George's Dock, Dublin 1, upon request.

Save as disclosed herein, no further information is required to be disclosed in
relation to the directors under the ISE's listing requirements for investment

The delay in notifying this change to the Irish Stock Exchange was due to
processing delays of an administrative nature.
