FOR IMMEDIATE RELEASE                                           16 January 2002



At the Third Extraordinary General Meeting held today the following
resolutions were duly passed: the special resolution to approve the change of
the Company's name to KCG 2001 plc; the special resolution that the Company be
wound up voluntarily and that Jeremy Simon Spratt and Roger Smith, both of
KPMG, be appointed joint liquidators for the purposes of such winding up; the
extraordinary resolution to authorise the joint liquidators to exercise powers
to make compromises with those parties who may have claims against the Company
and those against whom the Company has claims; the ordinary resolution to fix
the remuneration of the joint liquidators, and the ordinary resolution that
the books and records of the Company should be held by the joint liquidators
until the expiry of twelve months after the dissolution of the Company.

Following the passing of the above resolutions, the Directors have all
resigned as directors of Kalamazoo and dealings in the Ordinary Shares on the
Official List have been suspended.  The cancellation of the listing of the
Company's Ordinary Shares is expected to take effect at 08:00 am on 22 January
2002.  The joint liquidators will be writing to Shareholders in due course
regarding the return of capital to Shareholders.

This follows Completion of the disposal of the Kalamazoo Business to UCS on 8
January 2002.

Terms used in this announcement have the same meanings as set out in the
circular to shareholders dated 19 December 2001.
