The Shariah-compliant, ISDX-quoted, real estate investment company, Makkah &
Madinah Holdings Ltd. ("MMH" or the "Company"), wishes to inform the market of
several changes to the Company's Board of Directors.

As presaged in the Chairman's Annual Statement in respect of financial 2013,
released on 28 May 2014, Dr. Noor Atatreh and Mr. Abdullah Brook Al Hamiri have
both retired from the Board of MMH with effect from today. Each of Dr. Noor and
Mr. Abdullah Al Hamiri had been continuously involved since 2011 with the
Company; the Board thanks them both on its own behalf and that of the
shareholders for their past work and support.

The Company is delighted to announce the appointment with immediate effect of
two Directors; and that these appointments were also confirmed today by the
shareholders at the Company's AGM in Dubai:

Mr. Khaled Abdulaziz Z. Alhusseini (46) is a Saudi national and is the Chief
Executive of the Company's 34.12 per cent associate company, Makkah & Madinah
Commercial Investment Company JSC ("MMCI"), in the Kingdom of Saudi Arabia
("KSA"). Mr. Alhusseini is a graduate in statistics of the King Saud
University. From 1992, he pursued an eleven-year career within various
divisions of Saudi Basic Industries Corporation ("SABIC"). SABIC is one of the
largest basic and diversified petro-chemicals companies in the world,
capitalised on the Tadawul at in excess of US$90 billion.

Moving in 2003 into the real property development and marketing sector, Mr.
Alhuseini has been CEO of Manazel Al-Harameen and of Al-Haram Center Company,
both of which specialised in the Holy cities of Makkah and Al-Madinah. He
subsequently became CEO responsible for the international interests of the
Al-Salam Group, whose investments are estimated to aggregate US$3 billion; he
was responsible for major projects in the Middle East and Africa. In 2010, Mr.
Alhusseini joined MMCI, where he is the Managing Director; he has been working
closely with the executive Board of MMH since 2012, when the latter acquired a
substantial minority interest in MMCI.

In addition to becoming a Director of MMH, Mr. Khaled Alhusseini succeeds Dr.
Noor Atatreh as non-executive Chairman of the Company.

Mr Khaled (Nicholas) Majdalani (52) is a British national; he was educated in
the United Kingdom and the USA, earning his degree in Civil Engineering from
Syracuse University in New York State. Mr Majdalani began his career as a site
engineer in Istanbul; subsequently moving to Campbell Reith Hill International
("CRH"), with which firm he has been (saving as disclosed below) since 1987. He
is currently the Middle East Regional Director of CRH.

In his current position, Mr. Majdalani has worked on many development and
infrastructure projects in the Levant, the Gulf region including the UAE and
Central Asia, notable amongst these being the Yas Island tunnel project in Abu
Dhabi, various Road and Transportation Authority projects in Dubai, the Al
Warsan Lake preservation project in Dubai and the Presidential Palace project
in Azerbaijan. Taking a career break between 2003 and 2005 from CRH, Mr.
Majdalani became a director of Hill International, Inc. (NYSE: HIL), during
which time he headed its Abu Dhabi operation, which was involved with the Grand
Mosque project there. He was also involved in the transition of Hill
International, Inc. from a private to a public company.

Mr. Nicholas Majdalani's directorship of MMH will be non-executive and he will
be an independent Director, alongside Dr. Abdulaziz Alongary.
