In accordance with Rule 4.3 of the UK Listing Authority's Disclosure and Transparency rules, Octopus VCT 3 plc ("Fund" or "Company") presents an Interim Management Statement for the period to 31 May 2012. The statement also includes relevant financial information between the end of the period and the date of this statement.

Performance
At 31 May 2012 the NAV of the Fund was 93.6p. The performance of the Fund has been relatively stable in the period under review, with the NAV decreasing slightly since inception due to the running costs of the Fund exceeding its income.
Investment activity
During the period under review, Octopus VCT 3 plc has invested a total of £7.4million into solar companies that have been set up to invest into the renewable energy sector.
