Issue of Equity and Directors Shareholdings

Photon Kathaas (AIM:PKP.L) announces that 19,706 and 5,781 new Ordinary Shares have been issued to Michael Rosenberg, Non-executive Chairman, and Nathalie Schwarz, Non-executive Director respectively. In accordance with the terms of their service contracts Michael Rosenberg and Nathalie Schwarz have agreed to take new Ordinary Shares in the Company in lieu of cash against Director's fees payable to them for the months of November and December 2011. These Ordinary Shares have been allotted to them at an issue price of US$0.49 per share.

Following the above issue of shares, Michael Rosenberg is now interested in a total of 175,293 Ordinary Shares in the Company, representing approximately 0.81% of the enlarged issued share capital of the Company.

Following the above issue of shares, Nathalie Schwarz is now interested in a total of 42,022 Ordinary Shares in the Company, representing approximately 0.19% of the enlarged issued share capital of the Company.

Application is being made for the 25,487 new Ordinary Shares to be admitted to trading on AIM and dealings are expected to commence on 5 July 2012.

Following the issue of these shares, the Company has a total of 21,519,019 Ordinary Shares in issue. The total number of voting rights in the Company is therefore 21,519,019.

Rahman has won two Academy Awards (Slumdog Millionaire), 25 Filmfare Awards, four Indian National Film Awards, a Bafta Award, two Golden Globes and two Grammy Awards.
