Deregistration of GDS from IOB Platform



            Tata Motors Limited on October 15, 2009 issued 29,904,306 Global Depository Shares (GDSs) each representing one share at USD12.54 per GDS in an aggregate amount of USD375 million and conducted a simultaneous offering of 4% Foreign Currency Convertible Notes, due 2014, in an aggregate amount of USD375 million, in each case to non-U.S. persons outside the United States in offshore transactions under Regulation S of the U.S. Securities Act of 1933, as amended. 



            The GDSs were listed on the Luxembourg Stock Exchange with effect from October 15, 2009 under DR ISIN US8765686014 and CUSIP 876568601 and were admitted to trade on the Euro MTF market of the Luxembourg Stock Exchange.  An application dated October 9, 2009 was also made to admit the GDSs for trading on the IOB platform of the London Stock Exchange. 


            As of the date of this letter, a small number of GDSs remain outstanding under the program with the very significant majority having been withdrawn through conversions into local shares.  As there has been no trading of the GDSs on the IOB, the Company is terminating the facility and deregistering the GDSs from the IOB.


            Notice is hereby given with intention of the Company to deregister the GDSs from the IOB.
