             DEVELOPMENTS IN IT BUSINESS OF UFJ GROUP
             ----------------------------------------

The Sanwa Bank, Limited, the Tokai Bank, Limited and the Toyo Trust and
Banking Company, Limited ('Three Banks') have entered a basic agreement to
develop the information technology (IT) business of the UFJ group as below by
establishing a new IT company under the UFJ group in April this year,
integrating the systems divisions of the Three Banks and the related systems
development and information processing companies.

As a result, the UFJ group will establish an IT solutions structure ahead of
other financial groups.  This entails: (1) building new integrated systems of
and providing various information processing services for the UFJ group; and (2)
providing cutting-edge and speedy comprehensive financial services widely
outside the UFJ group, together with the cooperation of each company
participating in the Financial One alliance and of influential IT companies.



1. Outline of IT Company of UFJ Group
-------------------------------------

Date: April 2001
      Central Systems Co., Ltd. (Tokai Bank's consolidated
      subsidiary) will be reorganized as IT company for UFJ group
      (expected to be changed to new company name)


Capital participants:

      Expect to have majority capital participation through the UFJ
      group and the related companies
      
      Expect to invite wide capital participation, including
      influential IT companies, such as, Hitachi, Ltd., IBM Japan,
      Ltd., TIS Inc., Oracle Corporation Japan, Hewlet-Packard Japan,
      Ltd., etc.


Number of employees:

      2,200 at time of establishment (at end of March 2003, expect
      approx. 3,000 employees)


Business details:

      Provision of IT solutions, including: systems development and
      each type of information processing service for UFJ group
      companies, Financial One alliance businesses (such as, gateway
      business), financial institutions (especially regional banks),
      other corporations and public bodies.



2. Purpose and Business Development of IT Company of UFJ Group
--------------------------------------------------------------

The new company will provide IT solutions for cutting-edge and
speedy comprehensive financial services, in addition to building
a new integrated system and various information processing services
for the UFJ group.

(Specific details )
The systems related businesses, which are operated by the Three Banks
and the systems subsidiaries, will be reorganized and integrated as
quickly as possible, and efficient and speedy systems planning,
development and administration will be achieved.


   (Integration schedule )

   April 2001:
   - Integrate the development and administration business of the
     Computer Systems Development Department of Sanwa Bank to this
     company
     (The business of Central Systems Co., Ltd., including the
     systems development and administration business of Tokai Bank
     will be continued)
   - Promote altogether the building of new integrated systems of
     the commercial bank

   October 2002 (target):
   - Consider the integration of Sanwa System Development Co., Ltd.,
     Toyo Systems Development Co., Ltd., and Toyo Trust Operation
     Services Co., Ltd., which are systems subsidiaries of Sanwa
     Bank and Toyo Trust, into this company, as well as the
     concentration of the functions of each company
   - Integrate the systems development and administration of the
     trust bank

As a result of the collaboration with influential IT companies, the
new IT company will actively gain the latest technologies and most
sophisticated knowhow, and will bolster the provision of new
technologies and speedy IT proposals to the UFJ group, each company
in the alliance and general users.

   - Aim to enter close alliances with the influential IT companies
     through acceptance of capital participation and human resources.

The new company will provide IT solutions to build new business models.

   - Provide strong IT support for gateway business of Financial One,
     and for comprehensive financial services including banking,
