                        Acquisition of SIK Valiguard AB



Venteco plc ('Venteco' or the 'Company'),  the UK-based company specialising in
non-toxic pest control, announces that it has acquired  SIK Valiguard AB ('SIK
Valiguard'), the  Swedish-based specialist in food industry hygiene and safety
certification from SIK, the Swedish Institute of Food and Biotechnology.


The addition of SIK Valiguard strengthens Venteco's portfolio of companies
offering technologies and related services designed to capitalise on the
increased regulation of hygiene and safety in the food manufacturing and
logistics sectors.


SIK Valiguard


SIK Valiguard  holds the Nordic franchising rights for food inspection and
certification for SAI Global/Efsis-system, Europe's premier third party
independent inspection and certification body. Under its brand Efsis Scandinavia
the company operates in accordance with SAI Global/Efsis' rigorous quality
assurance programmes, primarily in the agricultural and food processing and
logistics sectors.


With revenues of SEK4.2m (£308,000) in 2006, SIK Valiguard reached profitability
last year.


Rationale of the deal


With its acquisition last year of CTS Technologies, which owns the patented
Cryonite non-toxic pest control technology which freezes bugs using a carbon
dioxide snow particularly in the food production and hospitality sectors, and
last week's addition of Silvandersson Sweden AB, a leading manufacturer of
insect glue traps, Venteco has established itself as a leader in the provision
of non-toxic pest control solution.


The Company's knowledge and services base in its core sectors will be
strengthened by the addition of SIK Valiguard to its portfolio.


SIK Valiguard has quickly established a profitable platform for growth in the
Nordic region, despite limitations on resources available to it. Venteco will
support SIK Valiguard in enhancing its strong position in Sweden through
increased marketing effort and recruitments and will help it to move into other
Nordic markets more aggressively. SIK Valiguard has significant opportunities
for further profitable growth in the future and Venteco believes it can help it
achieve its goal of becoming the dominant certification body in the whole Nordic
region.



The deal is expected to be earnings enhancing in the first year.
