Trading Update

                                TRADING UPDATE                                 

In  contrast to  the profitable performance of the Company in the early part of
the  current  financial year, trading  in  recent  months  has  been  adversely
affected  by the  Government's cessation of the New Deal programme, by declines
in  other Adult  Skills programmes and  by the reduced margins available to the
providers of Apprenticeship programmes.

As  a consequence, it  is the Board's current expectation that the Company will
deliver a breakeven  result at  the EBITDA (earnings before interest, taxation,
depreciation and amortisation) level for  the 12 month period to 31 March 2012,
which will be below the market's current expectation.

A  number  of  cost  cutting  measures, including the closure of certain small,
unprofitable, training  centres, have  already  been  implemented and the Board
will continue to bear down on the Company's overhead base.

It  is  the  Board's  current  expectation  that trading conditions will remain
challenging in the short to medium term. However, the  Company has  strong cash
reserves  (currently approximately GBP3 million) and  is  considered to be well
placed  to  grow  organically  as  employment confidence returns and to achieve
improved  performance  through  the  economies  of  scale  that can be achieved 
through further consolidation activity within the sector.
