COMMENCEMENT OF COMPULSORY ACQUISITION PROCEDURE

NTL has today posted compulsory acquisition notices pursuant to Section 429 of
the Companies Act 1985 to all those Workplace Technologies shareholders who
have not yet validly accepted the Offer.  The transfer of the compulsorily
acquired shares will take place on 5 November 1999.  The Offer and the Loan
Note Alternative will remain open for acceptance until 4 November 1999. 

NTL gave notice of its intention to procure the de-listing of the Workplace
Technologies Shares in the Offer Document dated 19 August 1999, such
de-listing to take effect no earlier than 20 business days after the Offer
became or was declared unconditional in all respects. NTL will, accordingly,
apply to the London Stock Exchange for the Workplace Technologies Shares to be
de-listed with effect from 22 October 1999.

Definitions used in the Offer Document have the same meanings when used in
this announcement, unless the context requires otherwise.
