           XL TechGroup company, AgCert, announces a pre-close update



XL TechGroup (AIM: XLT), the systematic architect and builder of an ongoing
stream of high value new companies, advises that XL TechGroup company, AgCert
International plc ('AgCert'), a leader in the production and sale of
agriculturally derived greenhouse gas emission reductions, has today announced a
pre-close update and significant contract development.



The Board of AgCert is pleased to announce that the company has met the target
set out last September for emission reduction submissions to the UN Executive
Board and, that following successful contract re-negotiations, the profitability
and risk profile of the business have been significantly improved.  Substantial
improvements have been achieved in site efficiency and AgCert's Board
anticipates further gains in overall site performance in 2007 and beyond.
AgCert continues to make progress on its key performance indicators and on the
regulatory front, and the company remains on target to meet all the remaining
delivery obligations.



John Scott, CEO of XL TechGroup, commented on AgCert's trading update: 'AgCert
has made considerable progress in 2006 and has established itself as a dominant,
global player in an exciting industry that is expecting substantial, further
growth.  AgCert heads into 2007 with a significantly reduced risk profile and
the expectation of shortly securing €70 million in additional funding.  We share
