Wizz Air Share Capital

Geneva, 31 January 2024:  In accordance with Rule 5.6.1R of the Financial Conduct Authority's Disclosure Rules and Transparency Rules (the "DTRs"), Wizz Air Holdings Plc (the "Company" and, together with its subsidiaries, the "Group") notifies that on 30 January 2024:

 -     it has one class of shares in issue, being ordinary shares of £0.0001 each ("Ordinary Shares");

 -     the total number of Ordinary Shares in issue is 103,359,205; and

 -     there are no shares held in treasury.

Each Ordinary Share carries one voting right, except that Ordinary Shares held by Non-Qualifying Nationals are subject to proportional disenfranchisement measures as announced by the Company, most recently, on 14 July 2023 (for more information please refer to our Regulatory-News section (https://wizzair.com/en-gb/information-and-services/investor-relations/investors/regulatory-news).

The total voting rights figure of 103,359,205 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the DTRs. 

The total figure of 127,712,296 may be used by shareholders for the Company's theoretical fully diluted share capital as at 30 January 2024, such total figure comprising 103,359,205 issued Ordinary Shares, 24,246,715 new Ordinary Shares which would have been issued if the full principal of outstanding convertible notes had been fully converted on 30 January 2024 (excluding any Ordinary Shares that would be issued in respect of accrued but unpaid interest on that date) and 106,376 new Ordinary Shares which may be issued upon exercise of vested but unexercised employee share options.
